We are seeking an Independent Non‑Executive Director and Chair of the Risk and Audit Committee who will bring strong assurance expertise, independent judgement and strategic insight to our Board. This appointment offers the opportunity to play a leading role in safeguarding Ubico’s financial integrity, risk management and governance as we continue to grow and evolve.

As Committee Chair, you will provide independent oversight of Ubico’s financial reporting, internal and external audit activity, and risk management frameworks. You will set the Committee’s agenda, ensure appropriate scrutiny of financial and narrative statements, and lead rigorous evaluation of audit and compliance processes. In addition to your INED responsibilities, you will support and challenge the executive team, ensure risks are clearly identified and managed, and provide assurance to the Board that Ubico is operating safely, legally and sustainably.

We are looking for candidates with experience chairing a board sub‑committee or similar, strong financial literacy, and a sound understanding of assurance, audit or compliance processes. You will bring strategic thinking, the ability to analyse complex issues and the confidence to lead inclusive, constructive debate. We welcome applications from a wide range of backgrounds, but particularly those with experience in financial or legal leadership, or a professional field such as accountancy, law, consultancy or actuarial practice.

The successful candidate will benefit from a dedicated handover period, initially joining the board as an observer alongside the outgoing postholder. This will provide invaluable insight into board dynamics, company operations, and the responsibilities of the role, ensuring a smooth and well-supported transition into this key leadership position.
