The Copyright Licensing Agency (CLA) exists to simplify copyright for content users and owners.  It represents its members (authors, publishers, visual artists) and, working with partners in over 35 countries, collects licence fees for the use of their content.  In 2021/2022 revenue was c. £88.7m, mainly from education, corporate and public sector customers and this revenue is distributed to our member organisations.  CLA seeks to maximise revenue for its members but in itself is non-profit making. The CLA mission is to help customers legally access, copy and share the published content they need, while also making sure that copyright owners are paid fair royalties for the use of their work.

CLA has c. 100 staff based in London and Edinburgh and currently has 11 board members, which includes the Chief Executive, eight Non-Executive Directors nominated by member organisations (of which two are Co-Chairs of CLA) and two independent Non-Executive Directors.

The CLA is seeking to appoint an independent NED who will bring constructive challenge to the CLA Board, Chief Executive and Executive team, help refine and develop its strategic thinking and contribute to the effective working of the Board.  You will also Chair the Audit and Risk Committee.  We are looking for an inspirational and experienced senior leader – someone who has led an organisation or run a significant function, with an understanding of financial management, corporate governance and digitally enabled business. Whilst we are not necessarily seeking previous non-executive director experience, you must bring experience as a member of an Audit & Risk Committee.  Given the range of sectors across which CLA works, the independent NED may have a wide range of background experience, but must have a demonstrable interest in the work of the CLA, copyright and the challenges faced by creators/publishers of content and/or commercial experience. With high levels of confidence, independence, and resilience, the appointee will also demonstrate absolute integrity, with the judgement, intellectual rigour and relationship skills to be credible and influential in this role.
